Conflict of Interest Policy

Pobl Tech is committed to maintaining the highest standards of integrity and transparency in all its operations. This Conflict of Interest Policy is designed to help our employees, contractors, and board members identify, disclose, and manage any potential conflicts of interest that may arise during their association with Pobl Tech.

1. Purpose:

The purpose of this policy is to:

  • Define what constitutes a conflict of interest.
  • Outline the procedures for disclosing conflicts of interest.
  • Provide guidance on how to manage conflicts of interest to ensure they do not affect the integrity of Pobl Tech’s operations.

2. Definition of Conflict of Interest:

A conflict of interest occurs when an individual’s personal, financial, or other interests interfere, or appear to interfere, with their duties and responsibilities at Pobl Tech. This can include situations where:

  • Personal gain is derived from a business decision.
  • Family or close personal relationships influence business decisions.
  • Financial interests in other organisations conflict with Pobl Tech’s interests.
  • Outside employment or business activities interfere with job performance or company loyalty.

3. Identifying Conflicts of Interest:

Employees & Directors are responsible for identifying situations where a conflict of interest may exist. Examples include:

  • Holding a significant financial interest in a competitor, supplier, or customer.
  • Accepting gifts, payments, or services from those seeking to do business with Pobl Tech.
  • Participating in outside activities that compete with or conflict with Pobl Tech’s interests.

4. Disclosure Procedures:

  1. Initial Disclosure:
    • Upon joining Pobl Tech, employees, contractors, and board members must disclose any potential conflicts of interest to the Human Resources Department or their immediate supervisor.
  2. Ongoing Disclosure:
    • If a potential conflict of interest arises during the course of employment or engagement, it must be disclosed immediately. This includes changes in personal relationships, financial interests, or external activities.

5. Managing Conflicts of Interest:

Once a conflict of interest is disclosed, Pobl Tech will take appropriate steps to manage the conflict. This may include:

  • Requiring the individual to refrain from participating in decisions or activities related to the conflict.
  • Reassigning job responsibilities to avoid the conflict.
  • Seeking advice from a legal counsel on the appropriate action to take.

6. Confidentiality:

All disclosures and discussions related to conflicts of interest will be treated confidentially. Information will only be shared with those who need to know to manage the conflict appropriately.

7. Violations of the Policy:

Failure to disclose a conflict of interest or to comply with the measures established to manage the conflict may result in disciplinary action, up to and including termination of employment or contract.

8. Policy Review:

This Conflict of Interest Policy will be reviewed annually to ensure it remains effective and relevant. Any necessary changes will be communicated to all employees, contractors, and board members.
